Articles of Association of Asia Fortune Forum Council
Introduction
Asian Fortune Forum is a high-level annual event in Asia business world, constituted under the guidance of policy research office of the Central Committee of the Communist Party of China, International Monetary Fund, China Banking Regulatory Commission (CBRC), Taiwan's Straits Exchange Foundation and other institutes in 2008. Rooted in China, based on Asia and spreading the whole world, Asian Fortune Forum is a high-end platform of economic and business exchanges and cooperation between Asian countries, country of Asia and the rest of the world, a grand event for Asia elite from industries like politics, business, education, research and capital to make comments on the kingdom of fortune and promote smart fortune ides, and also a high level international organization for political celebrities of Asian countries, local leaders, diplomatic envoys, business leaders, experts and scholars and social celebrities, etc .

Chapter 1 General Rules

Article1. Name
Name of the organization is “Asia Fortune Forum Council” (below called “Forum Council”) (English name: Asia Fortune Forum Council, abbreviation AFFC ).

Article2. Nature
Asia Fortune Forum, a professional active non-profit non-legal-person international NGO institution, is the only authentic high level platform for fortune communication. Being the core organization of membership of the Asia Fortune Forum, the Council is a carrier for all members sharing all kinds of high level resources and services.

Article3. The Objective
Toserve Asia governments, Asian economy, Asian enterprise, Asian talents, Asian health and harmonious development and commit to develop a high level platform for multi-dimensional fortune communication and cooperation between Asian countries and regions, Asia and the international.

Article4.  Law and custom
The Council observes the Constitution of the People's Republic of China, laws and regulations, complies with the local laws of all Council members and respects local social moral customs of Council members.

Chapter 2   Business Scope

Article5. Policy Research
To research and analysis political, economic, social, scientific and technological, humanity and industrial policies of all Asian countries and regions, the Council provides timely and accurate policy research information for Council members, helps Council members to recognize macro and micro environment in a objective manner and obtain policy support.

Article6. Financial Service
Integration financial institutions resources of all world famous Banks, investment Banks, insurance, funds, securities etc., broaden the international investment and financing channels, to build a international financial services platform.

Article7. Commerce and Trade Cooperation
To Build a dialogue platform for different governments, organization of the chamber of commerce and enterprise group, to promote deep communication between politics, business and enterprises, and to provide project docking, economy and trade promotion, information exchange and other services for Council members.

Article8 Academic Exchange
To develop academic communication and exchange in professional fields like talents, knowledge, ideas, capital, and resources, etc. by regularly inviting government officials, head of community organizations, entrepreneurs, experts and scholars, society celebrities and other people from all walks of life from Asia and other parts of the world.

Article9. Consultation & Training
Based on consulting and training expert team of the Forum, to provide consulting and training services like strategic alliance, operation of enterprises listing, marketing, channel grafting, brand establishment, corporate culture etc for Council members.

Article10. Human Resources
To help Council members to bring in and cultivate high-level, professional, international senior managerial talents to fundamentally provide systematic optimizing solution for Council members relative in core team’s selection, cultivation, employment and staying during their development and growth process by effectively integrating talent agencies like international high-end headhunting companies and business institutes etc.

Article11  Legal Consultation
Based on legal experts team of the Forum, to guarantee legitimate rights and interests of all Council members and avoid law risks in a better way by providing legal consultation service.

Article12. Strategic Management
Based on strategic management expert team of the Forum, to help Council members on establishment of comprehensive strategic management systems like strategic diagnosis system, strategic analysis system, strategic planning system, guarantee system, strategy implementation system and strategy evaluation system, etc. by providing strategic management consultation services.

Article13  Cultural Creativity
To sudy the present development situation of cultural creative industry of all Asian countries and different regions, lead the direction of cultural creative industry development, carry out activities of industrial seminars, exchange and docking through ways of forums, special sessions, and culture salons etc., and thus to search and create business opportunities in the field by fully displaying advantages of the Forum.

Article14.  Membership Categories

Article15. Membership Requirement
Every enterprise which advocates this AOA with commitment to fulfill membership obligations shall be welcome to join in the Council by meeting requirement as the following
1、 Advocating Objective and AOA of the Council;
2、 Willing to join in the Council;
3、 With legal enterprise main body in accordance with regulations;
4、 Influential with certain leadership in the industry;
5、Enthusiastic about council activities and willing to contribute to promote Asia development

Article16. Procedures of Council Membership
1、 Submitting《Application Form of Council Membership》;
2、 Accepting qualification investigation and verification by the Council;
3、 Approved officially as a Council Member;                                    
4、 Honored with Certificate of Council Membership.

Article17 Rights of Council Member

1、Co-president of the Council
(i).            Franchised to use the title of “Co-president of Asian Fortune Forum” for its own business activities Council members;
(ii).           Entitled with rights to formulate、adjust and modify strategic guidance of the Council;
(iii).          Entitled to enjoy tailored high-level governmental service provided by the Forum;
(iv).          Entitled with rights to be recommended by the Forum to government organizations home and abroad, chamber of commerce of all countries and Member enterprises for cooperation and docking;
(v).           Entitled to enjoy regular services of the Forum in strategic management, investment and funds raising, public charities, project marketing, brand marketin and promotion, channel exploration, academic exchanges, human resources, professional training, etc;
(vi).          Entitled with the right of setting thematic branch conference of the Forum;
(vii).         Entitled with right of availability to economy information databases of the Forum website upon authorization;
(viii).        The Council will fully take advantage of its own resources in government affairs, business and social affairs in combination of its powerful consultation system to do best in guaranteeing legitimate rights and interests of Council members;
(ix).           Entitled to participate in governmental salons, business dinners, charity evenings, leisure and entertainment and other activities held by the Forum;
(x).           Entitled to with the right of being honored as the leader of commercial docking visiting team titled as "Asian Fortune Visit to XX (Country Name)" and the right of visiting team organization;
(xi).          Entitled with priority of activity denomination and sponsorship held by the Forum;
(xii).         Entitled to advertise on Asian Fortune Forum magazine (6 issues, a whole page/ issue);
(xiii).        Entitled with presence of enterprise logo and name, also website links, on the official website of the Forum;
(xiv).        Other rights honored by the Council.
2、Vice-president of the Council
(i).            Franchised to use the title of “Vice-president of Asian Fortune Forum” for its own business activities Council members;
(ii).           Entitled to enjoy tailored high-level governmental service provided by the Forum;
(iii).          Entitled with rights to be recommended by the Forum to government organizations home and abroad, chamber of commerce of all countries and Member enterprises for cooperation and docking;
(iv).           Entitled to enjoy regular services of the Forum in strategic management, investment and funds raising, public charities, project marketing, brand marketing and promotion, channel exploration, academic exchanges, human resources, professional training, etc;
(v).            Entitled with the right to be the host of branch conference of the Forum;
(vi).           Entitled with right of availability to economy information databases of the Forum website upon authorization;
(vii).          The Council will fully take advantage of its own resources in government affairs, business and social affairs in combination of its powerful consultation system to do best in guaranteeing legitimate rights and interests of Council members;;
(viii).        Entitled to participate in governmental salons, business dinners, charity evenings, leisure and entertainment and other activities held by the Forum;
(ix).          Entitled to with the right of being honored as special investigator of commercial docking visiting team titled as "Asian Fortune Visit to XX (Country Name)" with enterprise projects;
(x).           Entitled with priority of activity denomination and sponsorship held by the Forum;
(xi).          Entitled to advertise on Asian Fortune Forum magazine (4 issues, a whole page/ issue);
(xii).         Entitled with presence of enterprise logo and name, also website links, on the official website of the Forum;
(xiii).        Other rights honored by the Council.
3、Standing Committee of the Council
(i).           Franchised to use the title of “Standing Committee of Asian Fortune Forum”  for its own business activities Council members;
(ii).          Entitled with rights to be recommended by the Forum to government organizations home and abroad, chamber of commerce of all countries and Member enterprises for cooperation and docking;
(iii).         Entitled to enjoy regular services of the Forum in strategic management, investment and funds raising, public charities, project marketing, brand marketing and promotion, channel exploration, academic exchanges, human resources, professional training, etc;
(iv).         Entitled with the right to be honorable guests to participate in theme seminars of branch conference of the Forum;
(v).          Entitled with right of availability to economy information databases of the Forum website upon authorization;
(vi).         The Council will fully take advantage of its own resources in government affairs, business and social affairs in combination of its powerful consultation system to do best in guaranteeing legitimate rights and interests of Council members;;
(vii).        Entitled to participate in governmental salons, business dinners, charity evenings, leisure and entertainment and other activities held by the Forum;
(viii).       Entitled to with the right of being honored as special investigator of commercial docking visiting team titled as "Asian Fortune Visit to XX (Country Name)" with enterprise projects;
(ix).         Entitled with priority of activity denomination and sponsorship held by the Forum;
(x).          Entitled to advertise on Asian Fortune Forum magazine (3 issues, a whole page/ issue);
(xi).         Entitled with presence of enterprise logo and name, also website links, on the official website of the Forum;

4、Executive Committee of the Council
(i).           Franchised to use the title of “Executive Committee of Asian Fortune Forum”  for its own business activities Council members;
(ii).          Entitled with rights to be recommended by the Forum to chamber of commerce of all countries and Member enterprises for cooperation and docking;
(iii).         Entitled to enjoy regular services of the Forum in strategic management, investment and funds raising, public charities, project marketing, brand marketing and promotion, channel exploration, academic exchanges, human resources, professional training, etc;
(iv).         Entitled with the right to be honorable guests to participate in theme seminars of branch conference of the Forum;
(v).          The Council will fully take advantage of its own resources in government affairs, business and social affairs in combination of its powerful consultation system to do best in guaranteeing legitimate rights and interests of Council members;;
(vi).         Entitled to participate in governmental salons, business dinners, charity evenings, leisure and entertainment and other activities held by the Forum;

(x).          Entitled with presence of enterprise logo and name, also website links, on the official website of the Forum;
(xi).         Other rights honored by the Council.

 Executive Member of the Council
(i).           Franchised to use the title of “Executive Member of Asian Fortune Forum” for its own business activities Council members;
(ii).          Entitled with rights to be recommended by the Forum to Member enterprises for cooperation and docking
(iii).         Entitled to enjoy regular services of the Forum in strategic management, investment and funds raising, public charities, project marketing, brand marketing and promotion, channel exploration, academic exchanges, human resources, professional training, etc;

(iv).          The Council will fully take advantage of its own resources in government affairs, business and social affairs in combination of its powerful consultation system to do best in guaranteeing legitimate rights and interests of Council members;;
(v).           Entitled to participate in governmental salons, business dinners, charity evenings, leisure and entertainment and other activities held by the Forum;
(vi).          Entitled to be a team member of commercial docking visiting team titled as "Asian Fortune Visit to XX (Country Name)" with enterprise projects;
(vii).         Entitled to advertise on Asian Fortune Forum magazine (1 issue, a whole page/ issue)
(viii).        Entitled with presence of enterprise logo and name, also website links, on the official website of the Forum;
(ix).          Other rights honored by the Council.
 
 Council Member
(i).              Franchised to use the title of “Member of Asian Fortune Forum Council” for its own business activities Council members;
(ii).             Entitled with rights to be recommended by the Forum to Member enterprises for cooperation and docking
(iii).            Entitled to enjoy regular services of the Forum in strategic management, investment and funds raising, public charities, project marketing, brand marketing and promotion, channel exploration, academic exchanges, human resources, professional training, etc
(iv).            The Council will fully take advantage of its own resources in government affairs, business and social affairs in combination of its powerful consultation system to do best in guaranteeing legitimate rights and interests of Council members;;
(v).              Entitled with presence of enterprise logo and name, also website links, on the official website of the Forum;
(vi).            Other rights honored by the Council

Article 18th   Member Obligations
Member obligations including:
I         To comply with the Statute of Council, executive Council resolutions;
II        To protect legitimate rights and interests and reputation of the Council;
III       To actively participate in and coordinate relevant activities which are organized by the Council and complete work assigned by the council;
IV       To provide dynamic information on development of industries and enterprises to the council in a timely manner;
V        To appoint part-time or full-time staff according to need of work assignments by the Council;
VI       To pay annual fees and related value-added services in a timely manner;

Article 19th     Withdrawal Mechanism
I        Council members are entitled to according to their own wishes to withdraw from the Council with written withdrawal notice;
II       If any Council member company fails to pay their fees in a timely manner, it will be taken as an automatic withdrawal from the Council;
III      The Council has the right to cancel the membership if any member enterprise which violates the AOA of the Council or causes damage to interests of Council Members
IV      Membership fee is calculated proportionally in terms of the occurrence year, and yearly accounting will be taken if any membership is no longer than a year.

Article 20th  Termination of Membership
To any member with illegal acts or losing contact with the Council for more than two years, the secretariat shall report to the Council and termination of the membership shall be decided by approval of the Assembly of Member Representatives.

Organization and Related Standards

Article 21 Organization

Article 22    the Assembly of Member Representatives
I          The Assembly of Member Representatives, the highest authority of the Board, is held once a year. The Council will be responsible for preparation of the Assembly and should notify all members in advance on issues related to the Assembly.
II       Under the circumstance of meeting quorum requirement(more than one-second Council members),in case of any member’s or members’ absence from the Assembly by resulted from  failure of notice delivery to the related member or those related members due to force majeure, process of the Assembly of Member Representatives shall not be affected.
Power of the Assembly of Member Representatives:
(i).To check and discuss the Articles of Association of the Council or Amending Proposal of the same;
(ii).      To elect the President, Vice-President, Member of Standing Committee and Executive Committee of the Council.
(iii).     To submit, through the Secretariat, the annual work report and annual budget to the Council for checking and discussion;
(iv).     To discuss other issues specified by the Assembly agenda.
(v).To discuss other written motions proposed by Council members, which should be signed by at least one-fourth of formal members and submitted to the Secretariat of the Forum 10 days before the Assembly.
(vi).      Resolutions of the Assembly of Member Representative should be agreed by more than half of whole formal Council members.

Article 23rd Quorum and Voting of the Assembly of Council Member Representatives
Quorum for the Assembly of Council Member Representatives should be at least half of formal Council members.
Co-president of the Council, Vice-President of the Council, Members of Standing Committee of the Council and members of executive committee of the Council are entitled to vote on the Assembly of Member Representatives by hand-show voting. According to the relevant rules enacted by the Assembly, a Council member is allowed to designate a representative to vote.

Article 24th   Special Session of the Assembly
The Council has the right to hold a special session according with written proposal by more than one-fourth members during closure time of the Assembly of Member Representatives to discuss emergent issues which can not be delayed to the next session of the Council.

Article 25th    The Supervisory Board of the Council
The Supervisory Board of the Council composes of five supervisors to be responsible for supervision and inspection service of the Council.

Article 26th    President, Honorary President, Co-president and Vice-President of the Council
I         President, honorary President, Co-president and Vice-President of the Council are elected out by voting of more than half of member representatives who present at the Council meeting.
II       The term of President, honorary President, Co-president and vice-President of the Council is 5 years and can be re-elected and re-appointed consecutively.
III      If President of the Council is unable to hold his position for certain reasons, the position shall be taken by the first vice-President serving as Acting President till the next Council meeting when the replacing President is elected with a term of the remaining term of the former President.
IV      Honorary President should be elected amidst influential former political leaders, senior officials, experts and scholars and business leader by voting of more than two-thirds of Member Representatives of the Council meeting.

Duties of President of the Council
I          Be the host of the Council meeting and the Assembly of Membership Representatives;
II       Supervise long-term plans and projects which help to achieve the objective of the Forum and promote the interest of the Forum.
III   Sign communicating documents and letters of non-agreement, non-binding and non-administration on behalf of the Forum with authorization by the Council,
IV       Report to the Assembly of Member Representatives  on work of the Council.
V          Other duties assigned by the council

Article 27th  Duties of Vice-President of the Council 
I        To assist the duties of the President of the Council
II       When President of the Council is unable to perform his duties, the First Vice-President shall serve as the exercising President in replace.
III      Support and guide daily work of the Secretariat.
IV      Other rights assigned by President of the Council

Article 28th  Secretariat of the Council 
Secretariat of the Council composes of Secretary General and Deputy Secretary General to be responsible for preparation of the Assembly of Member Representatives.
I        Responsible for preparation of the Assembly of Member Representatives.
II       To execute resolutions of the Assembly of Member Representatives and the Council.
III      Responsible for drafting or modifying the rules and regulations of the Membership Representative Conference of the Council and reporting to the Council for approving.
IV      Responsible for Admission and withdrawal of membership and daily communication and other related services.
V       Other matters assigned by the Council.
VI      To assist President of the Council to perform his duties.

Article 29th  Secretary General of the Secretariat 
The Secretary General is responsible for work of the Secretariat with a term of three years and, with the Council approved the extension, can be re-elected and re-appointed consecutively for no more than 3 terms with responsibilities as follows: 
I          Responsible for daily affairs of the Council and be the representative of the Council out of the Secretariat, the Council and the Forum.
II       In charge of presiding all meetings of the Council except the Assembly of Membership Representatives and Special Session of the Council
III   Execute rules and regulations approved by the Council.
IV       Recruit, select and dismiss staff of the Secretariat.
V          Put forward proposal of adjustment of functioning departments of the Secretariat and report to the Council for approval.
VI       Other matters assigned or authorized by the Executive Committee of the Council.

Article 30th  Deputy Secretary-general of Secretariat 
According to decision made by the Council, there will be a few staff at the position of Deputy Secretary-general. Deputy Secretary General can be nominated by the Secretary General and appointed/removed by the Council. Any nomination of other seniors higher than vice-President of the Council to be the Deputy Secretary-general should be approved first by the Secretary General before submitting to the Council. The term of office of Deputy Secretary-general is three years and can be extended to the next term with approval of the Council.

Duties of Deputy Secretary-general
I          Assist Secretary General to deal with daily affairs.
II       When the Secretary General is unable to perform his duties, the executive Deputy Secretary-general shall exercise on his behalf.
III   Other matters assigned or entrusted by the Secretary General.
Article 31st  Termination of Secretary General and Deputy Secretary-general 
Termination of term of office for Secretary General and Deputy Secretary-general happens upon rising of any of the followings: 
I          Submit a written resignation to the President of the Council three months in advance.
II       Termination resolution is approved by more than half of member representatives on Conference meeting and it’s entitled to require of another hearing under the circumstance.
III   Unable to perform his duties.
IV       Subject to criminal sanction.
Asset Management and Use

Article 31st   Council Sources of Funding
I     Membership Fee
II    Admission Fee
III   Donation
IV   Government-funded
V    Revenues gained by activities or services within the scope of business of the Council
VI   Interest of Council funds
VII  Other Legitimate Income

 Article 32th    Use of Funds
All the funds should be used to achieve the objective of the Council within the scope of the present Statute and related rugulating details.

Article 33th      Financial Management
To ensure that all accounting data legal, truthful and complete in compliance with internationally accepted accounting standards and financial laws and regulations and auditing of the accounts of the Council should be carried out every year by accounting firms with international professional certified qualification.
Insurance, welfare and other benefits of staff of the Council should observe related administrative rules and regulations.

Amendment of the Articles of Association

Article 34th   Program of the Articles of Association
I          Amendment proposal of AOA shall be submitted by the Secretariat to the Council for verification and discussion and approved by the Assembly of Member Representatives.
II       Amendment proposal of AOA shall take effect upon approval of the Assembly of Member Representatives.

Supplementary Provisions

Article 35th  Rules of the Articles of Association
Rules not mentioned in the AOF hereof is prescribed further in related regulating details, which shall take effect after approval of the Council.

Article 36th   Explanation
The Forum Council reserves the right of final interpretation of this AOA.

Article 37th    Effective Date
This AOA shall take effect from July 18, 2014.
Article 38th   Special Statement
The original Articles of Association of Asia Fortune Forum is terminated automatically upon the effect data ofthis Articles of Association.
